§ 1. GENERAL PROVISIONS AND RELATED DOCUMENTS
- These Terms of Service govern the use of the website available at go-solutions.org (the “Service”) and the provision of electronic services by Go Solutions LLC.
- The operator of the Service and the service provider is Go Solutions LLC, 30 N Gould St Ste R, Sheridan, WY 82801, USA, e-mail: office@go-solutions.org (the “Provider”).
- Support and complaints are handled via: office@go-solutions.org.
- LEGAL DISCLAIMER: The Provider delivers administrative/secretarial and technical services as a filing agent. The Provider is not a law firm and does not provide legal advice or tax advice under Wyoming law or under Polish/EU law. Information on the Service is educational and informational only and does not replace professional advice in the Client’s country of residence.
- Related documents: these Terms should be read together with the Privacy Policy and Cookie Policy published on the Service (processing of personal data, identity/compliance checks where required, cookies). By using the Service, the Client confirms they have reviewed those documents.
- Legal Notice: additional disclaimers and limits of informational content are provided in the Legal Notice/Disclaimer published on the Service.
§ 2. DEFINITIONS
For the purposes of these Terms:
- Client – a natural person, legal person, or organizational unit placing an Order or using the Services.
- Service – electronic services including (in particular) preparation of documentation and facilitation of forming an LLC in Wyoming.
- State Fee – a non-refundable public fee paid to U.S. authorities (e.g., Wyoming Secretary of State).
- Registered Agent – a third-party entity providing the statutory registered agent/address service in Wyoming.
§ 3. TYPES, SCOPE AND PERFORMANCE OF SERVICES
- Services are provided remotely and include preparation of documents, submitting filings and coordinating third‑party steps required to complete the formation pack (e.g., Registered Agent, EIN, optional Apostille/translations), as described on the Service.
- Registered Agent delegation: the Client acknowledges that the Registered Agent service is delivered by our partner: Wyoming Registered Agent Services LLC, 32 N Gould St., Sheridan, WY 82801, USA, phone: 307-217-4045. The Client authorizes the Provider to contract with this entity and transfer necessary Client data as required by Wyoming law.
- Domains and infrastructure: if the Client orders domain/DNS/e-mail services, the Client authorizes the Provider to purchase and configure them via registrars/providers (e.g., Namecheap), understanding that registries/WHOIS/ICANN rules may require data processing/disclosure.
- Client personal participation: certain steps require the Client’s direct participation, including signing, identity verification, remote notarization sessions, and submitting EIN (SS‑4) information as required by IRS procedures.
§ 4. TECHNICAL REQUIREMENTS
To use the Service the Client needs: (a) Internet access, (b) a current web browser with JavaScript enabled, (c) an active e‑mail address, and (d) the ability to read PDF files where applicable.
§ 5. PAYMENTS AND COMMENCEMENT
- The Service is started after full payment is credited to the Provider’s account/payment processor.
- State Fees and third‑party governmental fees are non-refundable once submitted/paid.
§ 6. PERSONAL DATA, GDPR AND DATA TRANSFERS
- The Provider processes personal data in accordance with the Privacy Policy. Because the Provider is based in the USA, performance of the Service requires transferring data to the USA (a third country). Legal basis: Art. 49(1)(b) GDPR (necessity for contract performance) and, where applicable, Art. 6(1)(c) GDPR (legal obligations).
- Recipients may include: U.S. authorities (Wyoming Secretary of State, IRS, FinCEN), the Registered Agent, and infrastructure providers (e.g., registrars, e‑mail/DNS providers). Details are provided in the Privacy Policy.
§ 7. WITHDRAWAL RIGHT AND REFUND POLICY
- State Fees are non-refundable.
- If the Client (as a consumer under EU/Polish law) requests immediate commencement of service before the 14‑day withdrawal period ends, the Client acknowledges that once the Service is fully performed or state filing is submitted, the withdrawal right may be limited or excluded to the extent permitted by applicable law.
§ 8. LIABILITY
- For B2B Clients, the Provider’s liability is limited to the paid service fee amount, to the maximum extent permitted by law. The Provider is not liable for lost profits, indirect damages, or business interruption.
- No guarantees: the Provider does not guarantee bank/fintech onboarding, payment processor acceptance, platform approvals, or specific tax outcomes.
§ 9. SECURITY AND REPORTING OBLIGATIONS
- Compliance checks: the Provider may request ID documents and UBO/controller data (and, where appropriate, perform sanctions/PEP screening) to meet legal and partner requirements.
- Sanctions: the Client represents that they are not subject to U.S./EU/Polish sanctions and are not operating from embargoed jurisdictions.
- The Client remains responsible for their local reporting/tax/compliance obligations (e.g., local beneficial ownership registers, foreign entity reporting), and should consult qualified professionals.
- If false data is provided or illegal use is suspected, the Provider may refuse/terminate service and the Registered Agent may resign in accordance with applicable rules, without refund of State Fees.
§ 10. COMPLAINTS
- Complaints may be submitted via e‑mail: office@go-solutions.org.
- The Provider will respond without undue delay, usually within 14 days, unless the matter requires additional information from the Client or third parties.
§ 11. FINAL PROVISIONS
- The governing law is the law of the State of Wyoming (USA).
- EU/Polish consumer protection: for consumers habitually residing in the EU (e.g., Poland), these Terms do not exclude mandatory protections under local law. Consumers may use out‑of‑court dispute resolution and the EU ODR platform (https://ec.europa.eu/consumers/odr), and may contact local authorities such as UOKiK.
- For disputes with business Clients, courts competent for the Provider’s seat in Wyoming may have jurisdiction, unless mandatory rules provide otherwise.
